Nova Leads Terms of Use

1. General provisions

These Terms of Use (the "Terms") govern access to the Nova Leads website, Telegram bot, Telegram Mini App, monitoring service, and Notifications.

Nova Leads is operated by Константин Кислов, an Individual Entrepreneur registered in Georgia (the "Operator"). Nova Leads, including its software features, is referred to below as the "Service". An individual or a representative of an organization using the Service is a "User".

By starting to use the Service, the User confirms that they have read, understood, and accepted these Terms. A User who does not agree to these Terms must not use the Service.

For the purposes of these Terms: "Search" means a monitoring configuration saved by the User; "Public Source" means a supported publicly accessible source on Telegram; "Message" means a third-party post in a Public Source; "Notification" means information sent to the User about a potentially relevant Message; "Subscription" means a paid period of access; "Trial" means one-time temporary access; and "Payment Provider" means a third party involved in processing a payment.

2. Description of the Service

Nova Leads continuously monitors supported public Telegram sources. The User creates Searches by selecting a country, city, category, and subcategories. The Service assesses newly detected public Messages and may send potentially relevant Messages to the User through Telegram.

Nova Leads is not:

• a party to transactions between Users and Message authors;
• a service that guarantees commercial results;
• a recruitment or real estate agency;
• a seller of contact databases;
• a guarantor of inquiries, responses, sales, or profit.

3. User eligibility

The Service is intended for persons aged 18 or older who have the legal capacity required to enter into an agreement. A User acting for an organization or business confirms that they are authorized to accept these Terms on its behalf.

4. Telegram account and authentication

Access to certain Service features may depend on Telegram. The User is responsible for maintaining control of their Telegram account, device, and access credentials.

The User must not impersonate another person or circumvent signed Telegram Mini App authentication.

5. Searches and monitoring settings

A Search is the monitoring configuration selected by the User. The User is solely responsible for choosing suitable parameters. Creating a Search does not guarantee that corresponding public Messages exist.

Searches may remain stored after commercial access ends, but monitoring, creation of new Searches, or delivery of Notifications may be restricted according to the User's current access entitlement.

6. Information from Public Sources

Messages originate from supported public Telegram sources. Nova Leads does not create, verify, or endorse third-party Messages.

Public availability does not guarantee that information is accurate, lawful, current, or will remain available. Sources and Messages may be deleted, changed, restricted, or become unavailable. Public availability alone also does not mean that information is not personal data.

7. Responsible use

The User is solely responsible for ensuring that interactions with Message authors are lawful and appropriate. The Service must not be used for:

• spam, harassment, intrusive surveillance, fraud, or phishing;
• unlawful marketing or discrimination;
• scraping or bulk extraction of Nova Leads data;
• reselling access without the Operator's written permission;
• circumventing technical restrictions or payment mechanisms;
• security testing without authorization;
• interfering with Telegram or Nova Leads infrastructure;
• unlawful processing of personal data;
• violating Telegram rules or applicable law.

8. Subscription and Trial

Paid access and the Trial are governed by the separate Subscription and Payment Terms.

The current Trial is offered once for 3 days, may be activated upon the first successful creation of a Search, and cannot be restarted. Current paid periods are 1 month, 3 months, and 6 months.

Refunds are governed by the Refund Policy available in the Service on the date of purchase or request. Detailed refund rules do not form part of this section.

9. Payments

Payments may be processed by third-party Payment Providers. Nova Leads does not store payment card details or private cryptocurrency keys.

A browser return to the website or a redirect displaying a success message does not confirm payment. Access is activated only after Nova Leads receives verified payment confirmation.

Before paying, the User must verify the invoice currency, network, address, amount, and memo/tag, if required.

The User understands that confirmed transactions on public blockchain networks are generally irreversible unless the Payment Provider's rules or applicable law provide otherwise.

10. Service availability

The Service may be temporarily unavailable because of Telegram failures or restrictions, maintenance, provider, internet, or infrastructure failures, source-access restrictions, security incidents, or force majeure. The Operator does not promise continuous availability of the Service or support.

11. No guarantee of results

Nova Leads does not guarantee any number of Messages, response rate, sales, contracts, employment, real estate transactions, profitability, or the completeness or accuracy of third-party Messages.

12. Suspension and termination of access

The Operator may suspend or terminate access for a breach of these Terms, fraud, security threats, abusive or unlawful conduct, attempts to circumvent technical or commercial restrictions, or to comply with legal or regulatory requirements.

A payment dispute may result in temporary restriction of access while the circumstances are reviewed. A dispute or chargeback alone does not automatically result in indefinite termination of access.

13. Intellectual property

Nova Leads software, design, marks, texts, and original materials belong to the Operator or the relevant licensors. Third-party Messages on Telegram remain subject to the rights of their authors and other rightsholders.

For the period of valid access, the User receives a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.

14. Feedback and suggestions

The User may submit suggestions regarding the Service. Nova Leads may use feedback that is not identified as confidential without charge or additional obligation. This does not transfer to the Operator ownership of any other User materials unrelated to that feedback.

15. Limitation of liability

To the maximum extent permitted by applicable law, the Operator is not liable for indirect, incidental, or consequential loss or loss of profit arising from reliance on third-party Messages, interactions with their authors, removal of sources, Telegram or provider failures, unauthorized access attributable to the User, or the User specifying an incorrect network or incorrect cryptocurrency transfer details.

Where the Operator's aggregate contractual liability may lawfully be limited, it will not exceed the amount paid by the User to Nova Leads during the three months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

16. Indemnification

To the extent permitted by law, the User agrees to indemnify the Operator for reasonable losses and costs arising from third-party claims caused by the User's unlawful use of the Service, spam, fraud, infringement of third-party rights, or breach of these Terms.

17. Changes to the Service and Terms

The Operator may change the Service and these Terms. Material changes will be communicated through the website, Telegram Mini App, Telegram, or email where the relevant channel is available. Technical and non-material changes may take effect without separate advance notice.

18. Governing law and disputes

These Terms are governed by the laws of Georgia. Before bringing court proceedings, the parties must attempt in good faith to resolve the dispute through Nova Leads support.

Unresolved disputes are subject to the jurisdiction of the competent courts of Georgia unless mandatory consumer-protection law provides otherwise.

19. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain effective, and the affected provision will apply to the maximum extent permitted by law.

These Terms, together with the terms and policies expressly referenced in them, constitute the entire agreement between the parties concerning use of the Service and supersede prior arrangements concerning those matters.
